Ino Loyalty for Shopify

Terms of service

These terms are an agreement between Tryino and the merchant that installs the Ino Loyalty app from the Shopify App Store. By installing or using the app, you accept them on behalf of your business.

Last updated:

Who these terms are between

  • Tryino, İstanbul, Türkiye (“Tryino”, “we”), which makes and runs the app.
  • The merchant that installs the app on its Shopify store (“you”). The person who installs the app confirms that they may accept these terms for the business.

The app is for business use. Shopify is not a party to these terms; your use of Shopify itself is governed by Shopify’s terms. Our data processing agreement (DPA) and the app privacy policy form part of these terms.

The service

Ino Loyalty runs a loyalty program inside your Shopify store. Depending on your plan, it includes:

  • points that customers earn on orders and spend in the cart;
  • tiers, and campaigns such as extra points, member discounts and free shipping;
  • referrals, missions and badges;
  • the games module, for example the daily wheel, “This or that”, “Guess the price” and “My garden”;
  • the storefront Rewards panel, the Rewards page, customer account and checkout blocks, Shopify Flow triggers and the admin pages in your Shopify admin.

We may improve, change or remove features. If a change materially reduces what your current plan includes, we will tell you in advance.

Moving to your own Ino Loyalty Engine

Some merchants later run their program on their own Ino Loyalty Engine. That is a separate product under a separate written agreement with Tryino and is not sold through the app. If you sign such an agreement, Tryino moves your program data from the app to your engine on your instruction under that agreement. The move is one way. Afterwards the app shows your program from the engine, and the processing in your engine is governed by that agreement. The copy of your data in the app is kept for 30 days after the move and then deleted, as the DPA describes.

Your account and access

You open the app from your Shopify admin; Shopify verifies who you are. The store owner and staff with permission to manage discounts in Shopify can use the app. You are responsible for the staff you give access to and for what they do in the app. Tell us at once at [email protected] if you think someone has used the app without your permission.

Acceptable use

You agree not to:

  • use the app for anything unlawful, deceptive or harmful to your customers;
  • try to access another store’s data, test the app’s security without our written permission, or get around plan limits or technical controls;
  • copy, resell, reverse engineer or build a competing product from the app, except where the law allows it;
  • overload the app or interfere with its operation;
  • put special categories of personal data (for example health data) or payment card data into the app, for example in point adjustment reasons or program texts.

Plans and fees

  • The app has paid plans. Shopify bills them through its app billing (Shopify App Pricing) on your Shopify invoice. We do not charge you for the app outside Shopify.
  • Each plan’s features, limits and fees are shown in the app’s Shopify App Store listing and on the plan page in the app. The plan you choose there applies.
  • You can change plan in the app; the change takes effect as Shopify’s billing applies it.
  • If we change the fee for your plan, we will tell you in advance, and the change applies only as Shopify’s billing rules allow.
  • Taxes are charged as Shopify’s billing terms set out. Fees are not refunded, except where Shopify’s terms or the law require it, or where we decide to give a credit through Shopify.

Free trial and cancellation

  • Where a plan includes a free trial, its length is shown in the listing. Charges start when the trial ends unless you uninstall the app before then.
  • You can cancel at any time by uninstalling the app from your Shopify admin. Uninstalling ends your subscription; Shopify handles any final charge under its billing rules.
  • When you uninstall, the Rewards panel and the app’s blocks stop working in your store.
  • Shopify sends us a deletion request (shop/redact) 48 hours after you uninstall, and we then delete your store’s data as the DPA describes. If you reinstall before that, your program data may still be there; after it, it cannot be recovered.
  • Ending the program does not end what you owe your customers under your program rules, for example points they have already earned.

Your responsibilities

Your program rules

You decide your program’s rules: how points are earned and spent, when they expire, tiers, campaigns, referrals, games and what happens on refunds. You also write the texts your customers see. You are responsible for publishing clear program terms to your customers, for honouring the rewards your program offers, and for the tax and accounting treatment of points and discounts. Check your settings before you publish them; the app applies the rules you set.

Your customers’ data and consent

You are the controller of your customers’ personal data and we process it for you under the DPA. You are responsible for telling your customers about the program and how their data is used, for having a legal basis for it, and for getting any consent the law requires. The app sends no marketing messages itself. If you send messages based on the app’s data, for example through Shopify Flow or your e-mail tool, you are responsible for your customers’ marketing consent.

Games of chance

The daily wheel awards points by chance. Before you turn it on, you must confirm in the app that you are responsible for running it; the app records which staff member confirmed it and when, and turns the wheel off if the confirmation is withdrawn. The wheel can only be played with a free daily spin, never with points or money. You are responsible for checking whether a game, prize draw or chance-based promotion needs a permit, registration or specific terms where your customers are, for example under lottery or sweepstakes laws, and for meeting those requirements.

Availability and support

  • We work to keep the app available and to fix problems quickly, but we do not guarantee uninterrupted or error-free operation. We may need short maintenance windows.
  • The app depends on Shopify and on our hosting provider, Microsoft Azure. Outages or changes on their side can affect the app.
  • Support is by e-mail at [email protected], Monday to Friday, 09:00–18:00 Türkiye time (UTC+3). We answer most questions within one business day.

Data and privacy

Your program data belongs to you. We process it only to provide the app, as set out in the DPA. The app privacy policy explains what the app accesses in Shopify, what we store and for how long. To make your program visible in Shopify, the app writes each member’s points balance and tier to the customer record as app fields and tags.

Intellectual property

The app, its software and design, and the Tryino and Ino Loyalty names and logos belong to Tryino or its licensors. While your subscription is active, we give you a non-exclusive, non-transferable right to use the app for your Shopify store. You keep all rights in your own content, such as your logo, program texts and product images, and allow us to use it only to run the app for you. If you send us suggestions, we may use them without obligation to you.

Disclaimer

To the extent the law allows, the app is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose. You are responsible for checking that your program settings give the results you intend. Nothing in these terms excludes a warranty that cannot be excluded by law.

Limitation of liability

  • Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or business opportunity.
  • Each party’s total liability under these terms and the DPA is limited to the fees you paid for the app in the 12 months before the event that gave rise to the claim.
  • These limits do not apply to liability for intent or gross negligence, or to any other liability that cannot be limited by law.
  • You are responsible for claims by your customers or authorities that arise from your program rules, your games or your use of customer data in breach of the law, and you will compensate us for reasonable losses those claims cause us.

Suspension and termination

  • We may suspend all or part of your access if it is needed to protect the app, other merchants or shoppers, if you seriously breach these terms, or if the law or Shopify requires it. We will tell you why, limit the suspension to what is needed and restore access once the reason is gone.
  • Either party may end these terms if the other materially breaches them and does not fix the breach within 15 days of written notice, or at once for a breach that cannot be fixed.
  • You may end these terms at any time by uninstalling the app. We may stop offering the app with at least 30 days’ notice.
  • When these terms end, your subscription ends through Shopify and your data is deleted as the DPA describes. Sections that by their nature should continue, such as liability and governing law, continue.

Changes to these terms

We may update these terms. The date at the top shows the latest version. We will tell you about material changes at least 30 days before they take effect, in the app or by e-mail. If you continue to use the app after that, the new terms apply; if you do not agree, you can uninstall the app.

Governing law and disputes

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of İstanbul have exclusive jurisdiction. This does not take away any protection that mandatory law gives you.

General

  • These terms, the DPA and the app privacy policy are the whole agreement between us about the app. For personal data, the DPA prevails over these terms.
  • You may not transfer these terms without our consent. We may transfer them to a company that takes over the app, and will tell you.
  • Neither party is liable for delays caused by events outside its reasonable control.
  • If a provision is invalid, the rest of the terms still apply. Not enforcing a right is not a waiver of it.
  • These terms are available in English and Turkish. If the versions differ, the English version applies.
